General conditions of sale
General provisions
These general conditions of sale govern all product sales made by Módulo 60 to legal entities or individuals. Any order placed with Módulo 60 necessarily entails the Customer’s unreserved acceptance of these general conditions of sale, the contents of which the Customer declares to have read beforehand. No clause contrary to these conditions may be asserted against Módulo 60 unless formally accepted by it in writing. Purchase and sale contracts shall be deemed concluded on the date the buyer receives the Order Confirmation document from Módulo 60, stating the products, quantities, prices, delivery times, payment terms, customer details, shipping method and delivery address. These details shall be deemed accepted and correct unless the customer objects in writing within no more than 24 business hours. Whenever products are ordered on behalf of another party, the person placing the order shall be jointly and severally liable with the beneficiary until full and effective payment has been made. Módulo 60 reserves the right to amend these general conditions of sale at any time.
Products
The technical specifications of the products are those stated in the respective data sheets and catalogues, except in the event of printing errors in text or photographs. Módulo 60 makes every effort to ensure that the information presented is free from typographical errors and, whenever such errors occur and are detected, will correct them as soon as possible. Módulo 60 cannot be held liable for errors in product prices and/or characteristics when they result from technical problems beyond its control. Due to the specific nature of the products sold by Módulo 60, orders are subject to a variation of +/- 20% in the quantities requested by the customer, as well as variations in product properties and dimensions. The applicable tolerances are set out in each product’s technical data sheet, which the customer undertakes to consult before placing an order, and no claims in this regard will be accepted.
Transport services
Módulo 60 undertakes to deliver products to the location specified by the Customer, provided that the Customer’s premises are located in mainland Portugal, unless expressly agreed otherwise by Módulo 60. If the location specified by the Customer does not meet these conditions, Módulo 60 may, at the Customer’s request and as an ancillary service, deliver the order to that location. Any resulting additional costs, notified to and accepted by the Customer in advance, will be charged to the Customer. Upon delivery, the Customer must, in the carrier’s presence, check that the products delivered are in good condition and compare the number of packages received with the transport document. If the packaging shows signs of damage or tampering, the Customer must, in the carrier’s presence, open it, check the condition of its contents and record these facts on the transport document and, if possible, take photographs. Módulo 60 must be informed in writing within no more than 72 hours, failing which claims on those grounds will not be accepted.
Delivery times
In the order confirmation, Módulo 60 will state the order delivery time in writing. Módulo 60 does not guarantee the actual delivery date of ordered products; delays between dispatch and receipt do not entitle the Customer to cancel the order or claim compensation on any grounds. In such cases, Módulo 60 must inform the Customer of the reasons for the delay. It is expressly understood that the times stated by Módulo 60 are estimates only, so failure to meet them shall under no circumstances give rise to any charge or liability for Módulo 60. If a delay exceeds 30 days from the expected delivery date, the Customer may cancel the order in whole or in part, provided that cancellation is made in writing and Módulo 60 confirms receipt before transport of the products begins. For products supplied to measurements specified by the Customer and requiring manufacture or processing, the order may not be cancelled unless Módulo 60 confirms that production of the item/product has not yet been completed. Módulo 60 may make partial deliveries, particularly when products are not available in stock. Expected delivery dates may be delayed by unforeseen events or force majeure, as well as circumstances not attributable to Módulo 60, including carrier delays, strikes, disasters, factory breakdowns, embargoes, customs delays, administrative requisition, shortages of raw materials, customer payment defaults and similar events.
Payment terms
Failure to meet the payment deadline for one invoice makes all other invoices immediately due and suspends any extension of credit. In those circumstances, Módulo 60 is also authorised to cancel any other orders already placed. A Customer in default on the payment of any invoice is liable for late-payment interest calculated at the statutory rate for commercial transactions. If the price is not paid under the agreed terms, the Customer shall bear all judicial and extrajudicial costs, including the fees of legal representatives connected with bringing the appropriate legal proceedings, which are hereby set at a minimum of 25% of the outstanding price. If overdue amounts are paid in part, the sums received will first be applied to collection costs, then to late-payment interest and finally to the outstanding principal. Under no circumstances may the Customer refuse to pay Módulo 60 for goods supplied or make any deduction or set-off without Módulo 60’s prior written authorisation.
Returns
After delivery of the ordered products, the Customer has 15 (fifteen) days to submit a written return or exchange request to Módulo 60. Products will only be accepted for return or exchange if they are in exactly the same condition as when received: in perfect condition (free of dirt, dust or grease), with their original properties and quantities intact and no signs of use, together with all accessories, original labels and related documentation, and in their original, unaltered packaging. The same applies where the Customer’s storage conditions did not comply with those stated in the product data sheets and, consequently, were not suitable for preserving the product’s original quality. Failure to comply with the above conditions will result in refusal of the return. Products made to measure, developed or produced specifically for the Customer, or made to the Customer’s specifications (cut-to-length services, special-width cutting, pre-gluing, polymer additions, etc.), as well as adhesives or cleaning products, may not be returned or exchanged. Módulo 60 is responsible for arranging the transport of goods to be returned or exchanged, and the Customer shall bear the cost.
To request the return or exchange of a product, the customer must email geral@modulo60.com with details of the product, reference, quantity, reason for the return and invoice number for the material concerned. Upon receiving this communication, Módulo 60 will also inform the customer by email of its decision on the return request and, if approved, the conditions under which the return will be processed and its transport and administration costs. The customer must confirm by email within no more than 48 business hours whether those conditions are accepted; otherwise, the return authorisation will lapse. No product or quantity not listed in Módulo 60’s authorisation email will be accepted for return, nor will returns unaccompanied by that document. In all circumstances, returns for reasons not attributable to Módulo 60 have a minimum charge of EUR 19.90, covering the associated logistics, transport and handling costs.
Retention of title
Módulo 60 retains ownership of all goods supplied until their price has been paid in full. Accordingly, ownership of goods sold by Módulo 60 is transferred only on the date the buyer has paid their respective prices in full. If the payment obligation is overdue, Módulo 60 shall have the option to recover the goods supplied at the defaulting Customer’s expense, provided that it communicates its intention to exercise that right by registered letter.
Manufacturing defects
The Customer also has 15 (fifteen) days after delivery of the ordered products to submit a claim for manufacturing defects. Point 6 applies with the necessary adaptations, particularly regarding how the defect is reported and the conditions for returning the products. In this case, photographs of the defective product must accompany the claim. Once Módulo 60 confirms acceptance of the claim, defective products will be replaced with identical products, except where replacement is impossible. In that case, Módulo 60 shall bear the cost of transporting the products.
Where products are supplied with protective film, it must be removed immediately after the product is incorporated or applied. Módulo 60 shall not be liable for any damage or costs incurred by the customer or third parties due to failure to comply with this obligation.
All products sold by Módulo 60 are intended exclusively for professional use. The customer is therefore responsible for inspecting the products received and verifying both their suitability for the intended purpose and the product’s quality and possible defects before using it or incorporating it into other materials. Under no circumstances may Módulo 60 be held liable for losses resulting from the application of defective products, including transport and travel costs, labour, replacement of materials to which the product was applied, etc.
Módulo 60 is not liable for abnormal or improper use, use inconsistent with the product’s technical specifications, negligence by the Customer in installing, storing or maintaining the product, product transformation or incompatibility with other materials.
Address for service
For the purposes of serving judicial or extrajudicial notices on the Customer, the Customer accepts that the address stated in the order constitutes the agreed address for service.
Applicable law and jurisdiction
Purchase and sale contracts concluded between Módulo 60 and the Customer are governed by Portuguese law. To resolve any dispute arising from the interpretation and performance of purchase and sale contracts, Módulo 60 may choose the court having jurisdiction over its registered office or the Customer’s address.
